General terms and conditions for product sales, installation work, and services.
1. General
Delivery is made in accordance with the standard industry conditions "General conditions for the supply and assembly of machinery and other mechanical, electrical, and electronic equipment between Denmark, Finland, Norway, and Sweden, and within these countries", referred to as NLM 94, along with the supplementary conditions NPV 99.
2. Scope of delivery
The scope of delivery is specified in the concluded agreement as a whole. The contract documents consist of emails, quotations, drawings, calculations, order confirmations, etc. In the event of conflicting information within the contract documents, the most recent documents containing the relevant information shall prevail.
3. Execution of the Work
The service fee is calculated on the assumption that the work can be performed on weekdays between 8:00 AM and 4:00 PM, and on Fridays until 3:30 PM.
If the work must be performed outside of these hours, overtime will be invoiced separately.
4. Place of Delivery
Delivery is EXW, Hejrevang 1, Allerød (Incoterms 2000). If delivery to another address (or multiple addresses) has been agreed upon, this must be specified in the agreement. Unless otherwise stated in the agreement, freight costs to the delivery location(s) are NOT included. Packaging for standard road transport is always included in the delivery.
5. Price
The price for the total delivery must be clearly stated in the agreement. All prices are in DKK and exclusive of VAT. Unless otherwise specified in the agreement, the price is fixed until delivery and cannot be altered as a result of, for example, price increases from subcontractors or similar. Additional services for the delivery may be agreed upon. The price and scope of additional services must be agreed upon in writing and will subsequently form an integrated part of the agreement.
6. Terms of Payment
The terms of payment are 30 days net from the invoice date, unless otherwise clearly stated in the agreement. We reserve the right to partially invoice an order. If the delivery includes installation work, the agreed price for installation will be invoiced upon completion of the installation.
7. Credit Rating
Guldager reserves the right to perform a credit assessment of the client. Information obtained through the credit assessment is strictly confidential and will not be disclosed to third parties.
8. Fees, Surcharges, etc.
Invoices are sent via EAN or email. We reserve the right to apply a fee of DKK 100 per invoice sent by mail. An environmental surcharge of DKK 60 is calculated upon invoicing of the agreed deliveries
In the event of late payment, reminder(s) will be sent, each subject to a fee of DKK 100.
9. Electrical and Plumbing Connections
Electrical and plumbing connections are not included in the quotation unless explicitly specified.
10. Liability
Guldager is only liable for damage caused by water from the water treatment and/or corrosion protection system if fault or negligence has been demonstrated on the part of Guldager. Guldager can never be held liable for operational loss, loss of profit, or any other indirect loss. Similarly, Guldager is not liable for damages resulting from force majeure. Furthermore, Guldager is not liable for damages resulting from the user's incorrect or negligent handling of the water treatment and/or corrosion protection system, regardless of whether this occurs intentionally or through negligence.
